R102 Wellness® Distributor Program Rules & Reseller Agreement

This Reseller Agreement (“Agreement”) is entered into between R102 Wellness® (“Company”) and the approved distributor (“Distributor”). By submitting a distributor application and placing a wholesale order, Distributor agrees to be bound by the terms of this Agreement.

1. Eligibility

  • Distributor must be a registered business entity (LLC, sole proprietor, retail establishment, or equivalent).
  • Distributor must be approved by R102 Wellness® prior to placing any wholesale orders.
  • R102 Wellness® reserves the right to approve or deny any application at its sole discretion.

2. Wholesale Pricing & Minimum Order

  • Approved distributors receive 35% off retail pricing on all wholesale orders using the provided discount code.
  • A minimum order of $400 is required per order. Orders may be combined across product cases to meet the minimum.
  • Wholesale pricing is non-transferable and may not be shared with unauthorized parties.

3. Authorized Sales Channels

Distributors are authorized to sell R102 Wellness® products through the following channels:

  • Physical retail storefronts
  • Farmers markets, pop-up shops, and wellness events
  • Local community sales

The following channels are NOT authorized without prior written approval from R102 Wellness®:

  • Amazon, eBay, Walmart Marketplace, or any third-party online marketplace
  • Independent e-commerce websites or online stores
  • Wholesale resale to other distributors or retailers

4. Brand Guidelines

  • Distributor must represent R102 Wellness® products accurately and professionally at all times.
  • Distributor may not alter, relabel, repackage, or modify any R102 Wellness® products.
  • Distributor must clearly identify R102 Wellness® as the brand on all marketing materials, signage, and social media posts.
  • Distributor may not make unauthorized health claims beyond those stated on product packaging.
  • Use of R102 Wellness® logos and brand assets must comply with brand guidelines provided upon approval.

5. Pricing to End Consumers

  • Distributors are encouraged to sell at or near suggested retail pricing.
  • Distributors may not sell R102 Wellness® products below the suggested retail price without prior written approval.
  • Suggested retail prices are listed on the R102 Wellness® website at r102wellness.com.

6. Product Handling & Storage

  • Distributors are responsible for proper storage and handling of all products, including refrigeration requirements for applicable products (e.g., Chaga Tea bottled drinks).
  • Distributors must comply with all applicable local health and food safety regulations.
  • Expired or damaged products may not be sold to consumers.

7. Returns & Refunds

  • All wholesale sales are final. R102 Wellness® does not accept returns on wholesale orders except in cases of damaged or defective products.
  • Claims for damaged or defective products must be submitted within 48 hours of delivery with photographic evidence.
  • Approved claims will be resolved via replacement or store credit at R102 Wellness®’s discretion.

8. Termination

  • R102 Wellness® reserves the right to terminate a distributor’s account at any time for violation of this Agreement, misrepresentation of products, or conduct deemed harmful to the R102 Wellness® brand.
  • Distributor may terminate participation at any time by providing written notice to R102 Wellness®.

9. Limitation of Liability

R102 Wellness® shall not be liable for any indirect, incidental, or consequential damages arising from the distribution or sale of its products. Distributor assumes full responsibility for compliance with all applicable local, state, and federal laws governing the sale of wellness and food products.

10. Agreement Acceptance

By submitting a distributor application and/or placing a wholesale order, Distributor acknowledges that they have read, understood, and agree to be bound by this Reseller Agreement.
